L-1 or E-2: decide from the enterprise’s history

THE SHORT ANSWER

L-1 and E-2 can both involve a business, but they ask different questions. One looks to a qualifying transfer between related active organizations; the other looks to treaty nationality, personal capital and control of an operating enterprise. If a proposal changes from opening a related office to purchasing an unrelated business, repeat the route comparison rather than carrying forward an earlier conclusion. Corporate control, prior employment, source of capital and the individual’s future duties can all change at once. The best route is the one whose evidence matches the plan now proposed. Use the next review as a quality check rather than as a search for reassuring language. Compare the original documents with the account that will be given to the government, identify what is missing, and record who is responsible for obtaining it. If a material fact changes, revise the analysis before relying on the prior conclusion. Official sources and the current form instructions control over an old checklist, an anecdote, or a plan that no longer describes the activity. This approach does not predict an outcome; it helps ensure that a decision is taken with the relevant facts, dates and risks visible. Make a dated note of the conclusion, the official material consulted and the next event that requires a fresh check. This turns a broad guide into a practical record for the applicant, employer, family or business team. It also prevents a preliminary discussion from being repeated later as though it were an approval.

01

Ask where the business history sits

Hypothetical example: a Canadian founder has operated a Canadian equipment company for four years and now wants a U.S. presence. L-1 begins with the relationship between qualifying active organizations and the person’s qualifying foreign employment. E-2 begins with treaty nationality, the investor’s capital and control of the U.S. enterprise. The same founder may need to examine both, but the evidence does not start in the same place.

02

Compare the person’s future work

L-1A requires a chiefly managerial or executive U.S. role; L-1B requires specialized company knowledge. E-2 requires the investor to develop and direct the enterprise. A plan in which the person mostly performs ordinary production can create different issues under each route. Use a calendar of actual tasks, reporting lines, ownership powers and staffing rather than relying on a founder or manager label.

03

Do not promise permanence from either route

Neither L-1 nor E-2 automatically supplies permanent residence. L-1A has a seven-year maximum and L-1B a five-year maximum. E-2 can continue only while the enterprise and classification facts remain qualifying, but it has no direct permanent-residence route. Separate any long-term immigration objective from the current nonimmigrant requirements and family timing.
